Powers and Authority
The general powers of the CIEDA Board of Directors state that the business and affairs of CIEDA shall be managed by its Board of Directors. The Board of Directors will determine the manner in which it will exercise authority and responsibility for the management of CIEDA and the manner and extent to which such powers will be delegated to committees of the board of CIEDA. In general, the Board of Directors shall be responsible for establishing overall policies and objectives for the management of the affairs and assets of CIEDA for planning and delegating responsibility, and for periodically reviewing and evaluating management results.
The president shall be the chief executive officer of CIEDA. The president shall have general supervision and management of the business and affairs of the Tribal enterprise, be an ex-officio member of all standing committees, and have the general powers and the duties of supervision and management usually vested in the office of a president of a corporate body. The president may sign, with the secretary or any other officer of the Tribal enterprise authorized by the Board of Directors, bonds, contracts, or other instruments which the Board of Directors, has authorized to be executed, except in cases where the signing and execution thereof has been expressly delegated by the Board of Directors to some other person. In general, the president shall perform all duties incident to the office of president and such other duties as may be prescribed by the Board of Directors.
The CIEDA Board of Directors and President/CEO are accountable for the administration and operation of all Tribal lease properties and its subsidiary enterprises.
